Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ontario AI Consulting website and consulting services. By using our website or engaging our services, you agree to these Terms.

1. Our Services

Ontario AI Consulting provides AI consulting services to Ontario businesses including:

• AI opportunity audits
• Government grant navigation and application support
• AI strategy and roadmap development
• AI implementation and workflow automation
• Staff training and onboarding
• Ongoing AI advisory and support

Specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Service Agreement executed between Ontario AI Consulting and the client.

2. Grant Navigation Disclaimer

Grant navigation services include identifying government funding programs, assessing eligibility, and assisting with applications. We do not guarantee grant approval. Funding decisions are made solely by the applicable government agency based on their criteria and discretion. Our fee is for the consulting and application support service, not contingent on grant approval unless explicitly stated in the Service Agreement.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information relevant to your engagement
• Respond to requests for information in a timely manner
• Make key decision-makers available for scoping and review sessions
• Pay fees according to the agreed payment schedule
• Not use our deliverables for any unlawful purpose

4. Intellectual Property

Our Deliverables

Upon full payment, we grant you a perpetual, non-exclusive, non-transferable license to use deliverables produced specifically for your engagement (digital adoption plans, audit reports, workflow configurations, training materials).

We retain ownership of our pre-existing methodology, frameworks, templates, and tools used in delivering our services.

Website Content

All content on our website — including text, graphics, logos, and page structure — is our property or used with permission. You may not reproduce, distribute, or create derivative works without our written consent.

5. Fees and Payment

Fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes. Payment terms are specified in the Service Agreement. Late payments may incur interest at 1.5% per month (18% APR) on the outstanding balance.

We accept payment by credit card, e-transfer, or invoice, as specified in the Service Agreement.

6. Cancellation and Refunds

• AI Opportunity Audit: Full refund if cancellation occurs before work begins. If work has commenced but the audit is not yet delivered, a partial refund minus time already spent (billed at $150/hour) will be provided.
• Grant Navigation: 50% refund if application is not submitted within the agreed timeline due to our error. No refund if the grant application is submitted but denied by the funding agency.
• Implementation projects: Milestone-based billing with no refund on completed milestones. Uncompleted work is refunded on a pro-rata basis.
• Training sessions: Full refund if cancelled 7+ days before the session. 50% refund if cancelled 3-6 days before. No refund within 48 hours.

7. Limitation of Liability

To the maximum extent permitted by Canadian law:

• Our total liability for any claim arising from our services is limited to the fees paid for that specific engagement.
• We are not liable for any indirect, incidental, or consequential damages including lost profits, business interruption, or data loss.
• We do not guarantee specific business outcomes such as increased revenue, grant approval, or cost savings from AI implementation.

8. AI Tool Recommendations

We recommend third-party AI tools and platforms based on our assessment of client needs. We are not the developer or provider of these tools. We make no warranties regarding third-party tool performance, availability, or security. Clients should review each tool's terms and privacy policy before adoption.

9. Confidentiality

We treat all client business information as confidential. We will not disclose client information to third parties except as necessary to deliver our services, as required by law, or with client consent. This obligation survives termination of our engagement.

10. Website Use

You agree not to:

• Use our website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or collect data from our website without permission
• Transmit malware or harmful code
• Interfere with website operation or security

We reserve the right to block access to users who violate these terms.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

12. Changes to Terms

We may update these Terms from time to time. For existing clients, changes affecting active engagements will be communicated directly. Website Terms may be updated without individual notice.
